1. Acceptance of Terms

By accessing or using NeedleKit ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of NeedleKit, including free and paid subscribers.

2. Account Registration

To access certain features, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 13 years old to create an account. By registering, you represent that you meet this age requirement.

3. Acceptable Use

You agree to use NeedleKit only for lawful purposes and in accordance with these Terms. You may not use the Service to upload or transmit any content that is illegal, harmful, defamatory, or infringes on any intellectual property rights.

You may not attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure. You may not use automated scripts or bots to abuse our API beyond reasonable use. NeedleKit reserves the right to terminate accounts that violate these restrictions.

4. Subscription Plans and Payment

NeedleKit offers a Free plan with usage limits, a Pro subscription at $9/month, and a One-Time access plan at $89 with expanded team features. Payments are processed through Stripe, Inc.

All payments are processed securely by Stripe. By subscribing to Pro, you authorize us to charge your payment method on a recurring monthly basis. You may cancel your Pro subscription at any time through the billing portal; cancellation takes effect at the end of the current billing period.

We offer a 14-day money-back guarantee for new paid subscriptions. To request a refund within this period, contact team@needlekit.com with your account email and reason for cancellation.

5. Intellectual Property

NeedleKit and its content, features, and functionality are owned by NeedleKit and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any embroidery designs, files, or data you upload to NeedleKit. By uploading content, you grant us a limited, non-exclusive license to store and process that content solely for the purpose of providing the Service to you.

6. Affiliate Links

NeedleKit participates in the Amazon Associates program. Thread purchase links on the platform may be affiliate links, and we may earn a commission if you make a purchase. This does not affect the price you pay. We only link to products we believe are relevant to your search.

7. Disclaimer and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. NeedleKit does not warrant that the Service will be uninterrupted, error-free, or that any uploaded files will be processed perfectly.

To the maximum extent permitted by law, NeedleKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you shall not exceed the amount you paid to NeedleKit in the 12 months preceding the claim.

8. Termination

You may terminate your account at any time by contacting us at team@needlekit.com. We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek emergency injunctive relief in a court of competent jurisdiction.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms at any time. We will notify you of significant changes via email or a notice on the platform. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
